By accessing or using Concierly.ai ("Concierly," "we," "us," or "our"), including our website, dashboard, WordPress plugin, APIs, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

Concierly provides an AI-powered chat assistant that integrates with e-commerce platforms (including WooCommerce) to offer product recommendations, order tracking, cart management, knowledge base support, and analytics. The Service includes a WordPress plugin, hosted API, and management dashboard.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized access to your account.
  • You must be at least 18 years old or the age of majority in your jurisdiction.

4. Subscription Plans and Billing

  • Free plans are subject to monthly message limits as described on our pricing page.
  • Paid subscriptions are billed monthly or annually in advance.
  • You may upgrade, downgrade, or cancel your plan at any time through the dashboard.
  • Refunds are provided on a case-by-case basis within 14 days of initial purchase.
  • We reserve the right to change pricing with 30 days' notice.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to violate any applicable laws.
  • Attempt to reverse-engineer, decompile, or extract source code from the Service.
  • Interfere with or disrupt the Service or servers connected to it.
  • Use the Service to send spam, phishing, or misleading content.
  • Resell or redistribute the Service without our written consent.
  • Use the AI assistant to generate harmful, abusive, or deceptive content.

6. Your Data

Ownership

You retain ownership of all data you provide to the Service, including your product catalog, customer interactions, and store information.

License

You grant us a limited license to use your data solely to provide and improve the Service. We may use aggregated, anonymized data for analytics and model improvement.

Data processing

Chat messages are processed by third-party AI providers (e.g., Google Gemini) to generate responses. By using the Service, you consent to this processing as described in our Privacy Policy.

7. Intellectual Property

The Service, including its design, code, AI models, and documentation, is owned by Concierly and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

8. AI-Generated Content

  • The AI assistant generates responses based on your product data and training. Responses may occasionally be inaccurate.
  • You are responsible for reviewing AI-generated content that appears on your store.
  • We do not guarantee that AI responses will be error-free, complete, or suitable for any specific purpose.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

10. Limitation of Liability

To the maximum extent permitted by law, Concierly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Concierly, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

  • You may terminate your account at any time by contacting us or through the dashboard.
  • We may suspend or terminate your access if you violate these Terms or for any reason with 30 days' notice.
  • Upon termination, your right to use the Service ceases. We will retain your data for 30 days to allow export, after which it may be deleted.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Service. Continued use after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which Concierly operates, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of that jurisdiction.
